Corporate law involves the formation, management, operation, and dissolution of corporations and other business entities. The role of solicitors in the department is to provide legal advice and services to companies throughout their life cycle.
The department assists clients in choosing the appropriate legal structure for their business, whether it is a joint stock company, one person company, limited liability company (LLC), partnership or any other entity.
They handle papers and files necessary to ensure compliance with corporate laws in Egypt and countries in which the office has closely related partnerships.
Establishing Companies in Egypt & Drafting Articles of Incorporation
The lawyers in the department have extensive experience in dealing with the Egyptian Investment Authority (GAFI) and commercial registry offices in order to work on establishing companies for our clients, drafting articles of incorporation, making the necessary amendments to them, and approving the minutes of the ordinary and extraordinary general assemblies.
The office’s the team also advises companies on corporate governance matters, including composition of the board of directors, shareholder rights, fiduciary duties of a director, and compliance with regulatory requirements. They help draft corporate bylaws and other governing documents.
The corporate department assists clients in drafting, reviewing, and negotiating a wide range of commercial contracts, such as employment agreements, shareholder agreements, partnership agreements, joint venture agreements, and commercial contracts.

The lawyers in the department have extensive experience in mergers and acquisitions, as the department deals with the legal aspects of mergers and acquisitions and other related transactions. This includes conducting due diligence, negotiating and drafting transaction documents, advising on regulatory compliance, and facilitating deal closing.
For companies whose shares are publicly traded, the Companies section helps ensure compliance with laws and regulations in compliance with the Capital Market and the Egyptian Financial Supervisory Authority.
